Everyone assumes the business owns the finished work. Then a customer asks for an intellectual property warranty, or another company challenges an image, and the team discovers that nobody checked what rights came with the subscription.

Paying for AI gives you access to a service. The rights you receive in its outputs depend on the applicable contract and law. Before those outputs become part of a product, customer deliverable, or major campaign, business owners should understand what they can use, what they can protect, and who pays if someone objects.

What an ownership clause actually gives you

Start with the provider’s terms. Does the agreement assign output rights to your business, or grant a license to use them? If it grants a license, does that permission cover commercial use, modification, distribution, and delivery to customers? Does it continue after your subscription ends?

A license may be sufficient for your intended use. The concern is whether its scope matches what your business plans to do.

Even an ownership clause needs careful reading. OpenAI’s individual terms, for example, assign whatever rights OpenAI has in the output, subject to applicable law. They also explain that outputs may resemble those given to other users and exclude other users’ outputs and third-party output from that assignment. That distinction matters: an assignment between you and a provider does not settle everyone else’s rights.

Permission to use is different from copyright protection

In the United States, a contract cannot supply the human authorship needed for copyright protection. The U.S. Copyright Office’s 2025 report explains that AI-assisted work can qualify where a human determines sufficient expressive elements, including through creative modifications or arrangements. Providing prompts alone is insufficient.

For a business, this creates an important commercial distinction. You may have permission to publish an AI-generated illustration without having copyright protection that lets you stop others from copying the purely AI-generated elements.

If a work is central to your brand or product, build meaningful human creative work into the process and document those contributions. Simply approving an output does not establish that the necessary authorship exists. Other protections, including trademark rights, require their own analysis.

Ownership does not eliminate infringement risk

An output can come with a favorable ownership clause and still raise a third party’s intellectual property claim. The provider’s rights are only part of the picture.

Consider an AI-generated image intended for product packaging, or code incorporated into software you sell. Before deployment, your review should address recognizable protected material and any applicable third-party license obligations. OpenAI’s service terms, for example, expressly recognize that code-generation outputs may be subject to third-party licenses, including open-source licenses.

The level of review should reflect the use. An internal brainstorming draft and artwork printed on thousands of packages create different commercial exposure.

Read who pays for a claim

An indemnity can require a provider to defend covered infringement claims and pay specified costs. Its practical value depends on the exact coverage, exclusions, claim procedures, and how it interacts with liability limits.

Do not assume every paid plan includes the same protection. OpenAI’s service terms provide output infringement coverage for specified offerings, with exclusions that include certain modified or combined outputs, unauthorized inputs, and trademark claims arising from commercial use. Beta services are excluded from its indemnification obligations.

Review those conditions against your actual workflow. If your team routinely edits outputs, combines generated code with other software, or uses generated images as branding, determine how those activities affect coverage before relying on it.

Also check the contracts you sign with customers. A broad promise that every deliverable is original, exclusive, and noninfringing may create obligations your AI provider does not cover. Negotiate promises your business can support and identify any necessary third-party materials or limitations.

Make the rights fit the workflow

Before approving an AI tool for important work, have someone review the terms for the specific plan and features your team will use. Record the permitted uses, applicable restrictions, rights after termination, and available infringement protection.

If an agency or contractor uses AI on your behalf, require disclosure of material AI use and the relevant tools. Address rights in the finished deliverable, human contributions, and third-party components in your agreement. An agency’s promise of ownership cannot create rights it never obtained.

For valuable outputs, retain the relevant terms, input permissions, and records of human contributions. Review confidentiality and data-use terms separately; an output ownership clause does not answer how the provider may handle information you upload.

Business owners should make these decisions before AI becomes embedded in a critical workflow. Once a campaign is live or a customer has received the deliverable, an unclear rights position becomes more expensive to resolve.

TalkCounsel helps businesses review AI vendor agreements and align customer and contractor contracts with how they actually use AI. Before relying on an output, establish the rights and responsibilities that support its intended use.

Paying for AI does not guarantee ownership.
